End User License Agreement (EULA)

1 Acceptance

This End User License Agreement ("EULA") constitutes a legally binding agreement between you ("User") and Clumsy's Lab LLC governing your download and use of the ClumsyNetWatch software application ("Software"). By downloading, installing, copying, or otherwise using the Software in any way, you acknowledge that you have read, understood, and agree to be bound by this EULA in its entirety.

If you are accepting this EULA on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this EULA.

2 Intellectual Property & Ownership

ClumsyNetWatch, including all of its source code, compiled binaries, algorithms, interfaces, graphics, documentation, and associated materials, is the exclusive intellectual property of Clumsy's Lab LLC and is protected by United States and international copyright law, trade secret law, and other applicable intellectual property laws and treaties.

The name ClumsyNetWatch and the name Clumsy's Lab LLC, together with associated logos and branding, are trademarks and trade names owned by Clumsy's Lab LLC. Nothing in this EULA grants you any right to use these trademarks, trade names, or logos.

The Software is licensed, not sold. Downloading or using the Software does not transfer any ownership interest, title, or rights in or to the Software or any portion thereof. Clumsy's Lab LLC retains all right, title, and interest in and to the Software, including all associated intellectual property rights.

3 License Grant

Subject to your compliance with this EULA, Clumsy's Lab LLC grants you a free, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Software solely for personal, non-commercial purposes on networks you own or lawfully control. This license is granted under the MIT License with the Commons Clause restriction — see the LICENSE file distributed with the Software for the full text.

This license does not include any right to: sell, resell, or commercially exploit the Software; modify, adapt, translate, or create derivative works; reverse engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law; remove or alter any proprietary notices or labels on the Software; sublicense or transfer this license to any third party; or use the Software for any purpose not expressly authorized in this EULA.

Commercial use requires a separate license. If you intend to use ClumsyNetWatch in a commercial context — including but not limited to use by a business, inclusion in a commercial product or service, or use to generate revenue — you must obtain a commercial license by contacting Clumsy's Lab LLC at licensing@clumsyslab.tech prior to any such use.

3 Pre-release Software Notice

ClumsyNetWatch is currently a pre-release build on the path to public launch. Pre-release software is provided for evaluation purposes only and may contain bugs, errors, incomplete features, or other defects. Clumsy's Lab LLC provides no guarantee of stability, data integrity, or continued availability of any feature.

The Software is not suitable for use in production-critical systems, mission-critical environments, or any scenario where data loss or system instability could cause significant harm. Features, interfaces, file formats, and behavior may change between versions without notice. Clumsy's Lab LLC is under no obligation to release any future version of the Software.

4 Permitted Uses

You may use ClumsyNetWatch for the following purposes:

• Scanning your own home network or personal lab environment.
• Scanning networks for which you are the owner, administrator, or designated IT responsible.
• Scanning networks where you have received explicit written authorization from the network owner prior to conducting any scanning activity.
• Educational and research use in isolated lab environments that you own or control.
• Evaluating the Software's capabilities for potential authorized deployments.

5 Prohibited Uses

You must not use ClumsyNetWatch for any of the following:

• Scanning any network, host, or device without explicit prior authorization from the owner of that network or device.
• Any use that violates local, state, federal, or international law, including but not limited to the Computer Fraud and Abuse Act (CFAA, USA), the Computer Misuse Act (UK), the General Data Protection Regulation (GDPR, EU), or equivalent legislation in your jurisdiction.
• Conducting, facilitating, or supporting denial-of-service attacks, network flooding, or any activity intended to disrupt or degrade network or system performance.
• Unauthorized collection, interception, or exfiltration of data from third-party systems or networks.
• Commercial redistribution, resale, or bundling of the Software without the express written consent of Clumsy's Lab LLC.
• Modifying the Software and redistributing it as your own product or under a different name.
• Using the Software as a component of malicious software, exploit kits, or any offensive toolchain aimed at unauthorized access.
• Circumventing, defeating, or tampering with any security measures on systems or networks you are not authorized to access.

6 Network Scanning Disclaimer

ClumsyNetWatch is a network scanning tool. Network scanning has legitimate and lawful uses, but it can also be illegal and harmful when used without proper authorization.

7 No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. CLUMSYZLAB EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• The implied warranty of merchantability.
• The implied warranty of fitness for a particular purpose.
• Any warranty of non-infringement of third-party rights.
• Any warranty that the Software will be error-free, uninterrupted, or produce accurate results.
• Any warranty that defects will be corrected or that the Software will be free of viruses or harmful components.

You assume all risk associated with downloading, installing, and using the Software. Some jurisdictions do not permit the exclusion of certain implied warranties; in such cases, Clumsy's Lab LLC's warranties are limited to the minimum scope permitted by applicable law.

8 Limitation of Liability

IN NO EVENT SHALL CLUMSYZLAB, ITS OPERATORS, DEVELOPERS, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE.

This limitation of liability applies to all causes of action, including but not limited to:

• Data loss, data corruption, or destruction of files.
• Damage to network infrastructure, hardware, or other systems.
• Lost profits, revenue, business, or anticipated savings.
• Legal penalties, fines, or prosecution arising from unauthorized use.
• Claims by third parties arising from your use or misuse of the Software.
• Any other direct or indirect loss, even if Clumsy's Lab LLC has been advised of the possibility of such damage.

This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise. Some jurisdictions do not allow certain limitations; in those cases Clumsy's Lab LLC's liability is limited to the fullest extent permitted by applicable law.

9 Indemnification

You agree to indemnify, defend, and hold harmless Clumsy's Lab LLC, its developers, contributors, officers, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use or misuse of the Software.
• Your violation of any provision of this EULA.
• Your violation of any applicable law or regulation.
• Any claim by a third party that you scanned their network or devices without authorization.
• Any harm caused to third parties as a result of your use of the Software.

Clumsy's Lab LLC reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Clumsy's Lab LLC in asserting any available defenses.

10 Updates and Changes

Clumsy's Lab LLC may update, modify, or discontinue the Software at any time and without notice. New versions may include changes to features, behavior, file formats, or compatibility. Clumsy's Lab LLC is under no obligation to maintain backward compatibility or to provide upgrade paths between versions.

This EULA may be updated at any time. The current version of the EULA will always be published on this page. Continued use of the Software following any update to this EULA constitutes your acceptance of the revised EULA. It is your responsibility to review this EULA periodically.

11 Termination

Your license to use the Software terminates automatically and immediately upon any violation of this EULA. Upon termination you must cease all use of the Software and destroy all copies in your possession or control.

Clumsy's Lab LLC may also terminate or suspend your ability to access software downloads from the Site at any time and for any reason without notice. Sections 6 through 9 of this EULA survive any termination of this license.

12 Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Missouri, United States. Any legal action or proceeding arising under or in connection with this EULA shall be brought exclusively in the courts located in the State of Missouri, United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
