End User License Agreement (EULA)

1 Acceptance

This End User License Agreement ("EULA") is a binding agreement between you and Clumsy's Lab LLC covering your use of the ClumsyFileMover™ software application (the "Software"). By downloading, installing, opening, or otherwise using an authorized build, you acknowledge that you have read and agree to this EULA.

If you accept this EULA on behalf of a company or organization, you represent that you have authority to bind that organization.

2 Ownership

ClumsyFileMover™, its branding, software, interface design, documentation, screenshots, and related materials are the intellectual property of Clumsy's Lab LLC. The Software is licensed, not sold.

This EULA does not transfer ownership of the Software or grant any right to reuse ClumsyFileMover™ or Clumsy's Lab™ branding except as expressly allowed in writing.

3 License Grant

Subject to your compliance with this EULA, Clumsy's Lab LLC grants you a limited, non-exclusive, non-transferable, revocable license to use authorized copies of ClumsyFileMover™ for evaluation, testing, or other approved use.

Unless Clumsy's Lab states otherwise in writing, this license should not be interpreted as granting open redistribution rights, sublicensing rights, or broad commercial deployment rights.

4 Pre-release Software Notice

ClumsyFileMover™ is currently an in-development product. Beta or evaluation builds may be incomplete, may change without notice, and may contain bugs, workflow issues, or data-handling edge cases that are still being refined.

5 Permitted Uses

You may use ClumsyFileMover™ for purposes such as:

• Evaluating the product in your own environment
• Testing transfer workflows you own or are authorized to manage
• Internal lab, staging, or pilot use approved by Clumsy's Lab
• Reviewing the product for possible future deployment or licensing

6 Restricted Uses

You may not, unless Clumsy's Lab gives written permission:

• Resell, rehost, redistribute, sublicense, or package the Software for third parties
• Remove copyright, trademark, or ownership notices
• Present the Software, screenshots, or bundled assets as your own work
• Use the Software in violation of applicable law or the rights of others
• Use the Software in ways that intentionally cause harm, unauthorized access, or data misuse

7 File-handling Responsibility

ClumsyFileMover™ is intended to help move or organize files, which means your use of the Software can affect real data. You are responsible for confirming paths, destinations, credentials, overwrite behavior, and job settings before relying on any transfer.

You remain responsible for maintaining appropriate backups, testing workflows safely, and verifying that the Software is suitable for your use case.

8 No Warranty

To the maximum extent permitted by law, ClumsyFileMover™ is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

9 Limitation of Liability

To the maximum extent permitted by law, Clumsy's Lab LLC will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of data, loss of business, interrupted operations, or failed transfers arising out of or related to use of the Software.

This limitation applies even if Clumsy's Lab has been advised that such damages might occur.

10 Payments, Refunds, and License Keys

All purchases of ClumsyFileMover™ Pro are processed by Lemon Squeezy (Lemon Squeezy, LLC), a third-party payment processor. Clumsy's Lab LLC does not process, store, or have access to your payment card numbers, CVV codes, or billing addresses. Card security, PCI compliance, and fraud protection are managed entirely by Lemon Squeezy under their Privacy Policy and Terms of Service.

Refunds: ClumsyFileMover™ Pro comes with a 30-day money-back guarantee from the date of purchase. If the product is not what you needed, email support@clumsyslab.tech within 30 days for a full refund — no questions asked.

License keys: Each Pro license may be activated on up to 3 machines at a time. Deactivating a machine in Settings → License frees that seat for use on another device. License keys are personal and non-transferable. Sharing, reselling, or distributing a key beyond the licensed seat count violates this EULA and may result in deactivation without refund.

11 Termination

This license may terminate automatically if you violate this EULA. Clumsy's Lab may also withdraw access to pre-release builds, beta programs, or evaluation copies at any time.

12 Updates and Changes

Clumsy's Lab may modify the Software, release channels, access process, or related license language as the product evolves. Updated public legal pages may replace earlier in-development wording when the product reaches a broader release stage.
